MINDSTK END USER LICENSE AGREEMENT

This End User License Agreement (the “EULA”) is between you and Mindstk Ltd. (“Mindstk”) and governs your access to and use of Mindstk’s mobile or web application and related services (collectively, the “Services”).

Your access to the Services is provided through the organization or other entity that authorized your use (the “Sponsoring Organization”). By accepting this EULA or accessing the Services, you agree to be bound by it. If you do not agree, you may not use the Services.

1. Access and License

1.1 Subject to this EULA and your continued authorization by the Sponsoring Organization, Mindstk grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Services for their intended purpose.

1.2 The scope and availability of the Services depend on the agreement between Mindstk and the Sponsoring Organization. The Sponsoring Organization may administer your access and request its suspension or termination. You are not a party to, or a third-party beneficiary of, that agreement.

1.3 You must be legally capable of accepting this EULA. Our services are not directed nor intended for use by minors, and we do not knowingly process, sell or share children’s information, unless provided by you under this EULA and per applicable law.

1.4 If you provide us with personal data relating to another individual, you represent that you are authorized to provide such information and that such individual has been informed, to the extent required under applicable law, that their information may be collected and processed by us.

2. Account

You must provide accurate information when creating or using an account. You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account. You must promptly notify Mindstk or the Sponsoring Organization of any suspected unauthorized access.

3. Restrictions

You may not, and may not permit any other person to: (a) copy, modify, translate, create derivative works of, or otherwise exploit the Services except as expressly permitted; (b) reverse engineer, decompile, disassemble, or attempt to derive any source code or underlying technology of the Services; (c) remove or alter any proprietary notices; (d) sell, resell, sublicense, distribute, or otherwise make the Services available to another person; (e) use the Services to build or improve a competing product or service; (f) frame, mirror, scrape, harvest, or publicly display the Services or access them through undocumented or unauthorized means; (g) circumvent or interfere with any security, access-control, usage-limit, or monitoring feature; (h) conduct penetration, vulnerability, or performance testing, or publish benchmark results, without Mindstk’s prior written consent; (i) transmit malware, spam, or fraudulent content or otherwise disrupt the Services; or (j) use the Services in violation of applicable law, third-party rights, or applicable export-control or sanctions restrictions.

4. Alerts and Recommended Actions
4.1 The Services may provide alerts, whether fully automated or under the supervision of Mindstk, regarding potential security, safety, or other risk events (“Alerts”). Alerts rely on publicly available information and third-party sources. The Services may not identify every relevant event, and Alerts may be incomplete, inaccurate, or delayed.
4.2 The Services may also provide suggested actions, or the Sponsoring Organization may prepare, approve, or communicate instructions or recommendations (“Recommended Actions”). You remain responsible for assessing the circumstances and deciding whether and how to act. The Sponsoring Organization review and approve any Recommended Action, and Mindstk is not responsible for any such Recommended Action.
4.3 The Services are intended to support situational awareness. They are not emergency services, physical security services, or a substitute for official advisories. You should contact the appropriate emergency services and consult official sources where necessary. Mindstk does not guarantee that any Alert or Recommended Action will prevent harm or achieve a particular result and is not responsible for instructions prepared or materially modified by the Sponsoring Organization.
4.4 The SOS feature allows you to request assistance from Mindstk's 24/7 operations center. Activating SOS sends your location and contact details to the operations center, which will attempt to contact you and may, with your consent, share those details with relevant local assistance providers. Without derogating from the generality of Section 4.3, the SOS feature facilitates communication and assistance coordination, it is not an emergency response or dispatch service and does not replace local emergency services, and we will not automatically transferring your details or location to any such authorized service. In an emergency, you should contact the appropriate local emergency service directly, using the emergency numbers displayed in the Application or otherwise. Mindstk does not guarantee a particular response time, the accuracy of location information, or the availability or outcome of assistance provided by third parties.

5. Push Notifications and SMS

5.1 Use of the Application and certain features of the Services may consume mobile data and depend on internet, telecommunications connectivity, compatible device hardware and software and sufficient phone battery. Some features of the Application, such as the use of our Operations center, may result in increased data consumption.

5.2 Alerts, Recommended Actions, and operational communications may be sent through push notifications or SMS. By enabling notifications or providing or confirming your mobile number, you agree to receive such communications. Message and data rates may apply. You may disable notifications, but doing so may limit the functionality or effectiveness of the Services.

5.3 You may be required to authenticate your access to the Application using a one-time password (OTP) sent to the email address associated with your account or by SMS through the applicable cellular provider to the mobile number associated with your Account.

6. Privacy and Information Sharing
6.1 The Sponsoring Organization is the controller of Personal Data processed by Mindstk on its behalf in connection with the Services. Mindstk’s Privacy Policy (“Privacy Policy”), provides additional information regarding Mindstk’s data practices but does not alter the Sponsoring Organization’s responsibilities or the Parties’ respective roles. To the extent Mindstk processes Personal Data for its own purposes, such processing will be governed by the Privacy Policy and applicable law.
6.2 The Sponsoring Organization may provide Mindstk with information about you, and information submitted, collected, or generated through your use of the Services may be made available to the Sponsoring Organization for the provision and administration of the Services. The Sponsoring Organization’s own privacy notices may also apply. With any inquiry regarding your rights, you should approach the applicable Sponsoring Organization.
6.3 The Services may collect and use your device location to provide location-based features, Alerts, Recommended Actions and SOS assistance as described in Section 4.4. By enabling location permissions, you consent to such collection and use. You may withdraw permission through your device settings, but doing so may limit the availability or functionality of the Services.
6.4 Mindstk will maintain reasonable technical and organizational safeguards designed to protect Personal Data processed through the Services. However, no system or method of transmission is completely secure.
6.5 Subject to applicable law, Mindstk may collect and use usage, technical, statistical, aggregated, and de-identified information relating to the Services for any lawful purpose.
6.6 You are responsible for ensuring that you have all rights, permissions, and consents required to provide Mindstk or the Sponsoring Organization with Personal Data or other information relating to any third party.

7. Ownership and Feedback

7.1 Mindstk and its licensors retain all rights in the Services, including the underlying technology, content, Alerts, and Recommended Actions generated through the Services. This EULA grants you only the limited right of use expressly stated above.

7.2 You retain any rights you may have in information that you submit. You authorize Mindstk to process such information as necessary to provide, operate, secure, and support the Services and as described in the Privacy Policy.

7.3 If you provide feedback regarding the Services, Mindstk may use it without restriction or compensation.

8. Third-Party Services and App Stores
8.1 The Services may rely on or interact with third-party services, data sources, or integrations. Mindstk does not control and is not responsible for the availability or accuracy of third-party services or information. You must comply with any applicable third-party terms when using the Services.
8.2 If you obtain the Application through an app marketplace, this EULA is between you and Mindstk, not the marketplace provider. Mindstk, and not the marketplace provider, is responsible for the Application and for addressing any support, warranty, product, regulatory, or intellectual-property claims relating to it, in each case subject to this EULA and applicable law. The marketplace provider has no obligation to provide maintenance or support. Your license is limited to use of the Application on devices you own or control, as permitted by the applicable marketplace rules.
8.3 If the Application is obtained through Apple’s App Store, you may notify Apple if it fails to conform to any warranty not validly disclaimed, and Apple will refund any applicable purchase price; Apple will have no other warranty obligation. You represent that you are not located in a territory subject to a U.S. government embargo or designated as supporting terrorism and are not listed on any U.S. government restricted-party list. Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it against you.

9. Changes, Suspension, and Termination

9.1 Mindstk may update or modify the Services from time to time. Mindstk may suspend or terminate your access if you breach this EULA, if necessary to protect the Services or comply with law, upon request of the Sponsoring Organization, or when the Sponsoring Organization’s right to provide you with access ends.

9.2 Upon termination, your right to use the Services will immediately cease.

10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MINDSTK DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MINDSTK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINDSTK AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, REPUTATION, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS EULA.

MINDSTK’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THIS EULA WILL NOT EXCEED USD 100 (ONE HUNDRED US DOLLARS). NOTHING IN THIS EULA EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

12. Changes to this EULA

Mindstk may update this EULA from time to time. Mindstk will provide reasonable notice of material changes through the Services or by other appropriate means. Your continued use after the updated EULA becomes effective constitutes acceptance. If you do not agree to an update, you must stop using the Services.

13. Governing Law

This EULA is governed by the laws of the State of Israel, without regard to conflict-of-law rules. The courts of Tel Aviv–Jaffa will have exclusive jurisdiction, subject to any rights that cannot be waived under applicable law.
